1.1 These Terms and Conditions govern the use of our online Healthcare Website and Mobile App Services( referred to a ‘’the Service’’)provided by On Cloud Doc Sdn Bhd ( OCD), hereinafter referred to as’’we,’’us’’or ‘’our’’.’You’ and ‘Your ’refer to the users of the service. ’OCD ’refers to the company ‘ On Cloud Doc Sdn Bhd’
1.2 By accessing or using the Service, you agree to be bound by these Terms and Conditions including the Terms of Use and Privacy Policy, and additional guidelines or rules applicable to specific services or features.
2. Services Offered
2.1 We provide online healthcare Consultation Services allowing users to consult with licensed healthcare professionals remotely. We also provide in-clinic physical examination, laboratory investigations, X-ray facilities, e-prescriptions at our OCD Ambulatory Clinics; as well as Endoscopy Procedures ,Day case Operative procedures, Physiotherapy and other services in our OCD Ambulatory Centres
2.2 Our services include but are not limited to medical consultations, prescriptions, treatment plans, and general health information and any other services which may or will be added at a later stage.We provide and offer only outpatient ambulatory facilities for patients who have or suffering from low risk medical conditions
2.3 The information in this Service is not intended for distribution to any one or entity or any country and those who access this Service from any locations do so at their own risks.
2.4 We,at our sole discretion, reserve the right to remove,change or modify the contents or update the information of the Service at any time and in any manner without any notice.It is the sole responsibility of the user to review the service regularly.We are not liable to you or any third party for any modifications,price changes,suspension or discontinuance of the service.
2.5 We cannot guarantee the Service will be available at all times.We may experience hardware,software, internet connectivity or other problems,or need to perform maintenance related to the Service,resulting in interruptions,delays or errors.
2.6 We reserve the right to revise,update,change,suspend,discontinue or otherwise modify the Service at any time or in whatever manner and for whatever reason without notice or explanation to you.
2.7 You agree that we have no liability whatsoever for any loss,damage or inconvenience caused by your inability to access or use the Service during any downtime or discontinuance of the service.
3. Service Management
3.1 We reserve the absolute right, and in our sole discretion:
a)to refuse,stop or restrict the access of the user to the service,or remove any Contribution by the user or portion thereof, without prior notice or explanation
b)to take legal action against anyone who violates the law or these Legal terms
c)to remove all files and content which are ,excessive in size or burdensome to our system
d)to manage our the Service to protect the rights and property including its security ,to facilitate the functioning of the Service
4. User Eligibility and Responsibilities
4.1 Users must be at least 18 years old to use our Service
4.2 By using the Service,you warrant that you have the legal and mental capacity to enter into these Terms and Conditions and to abide by them
4.3 You warrant that you will not access the service through automated or non-human means,whether through a bot,script,or otherwise
4.4You will not use the service for any illegal, unauthorised purposes and against any government regulation

5. User Responsibilities
5.1 Users are responsible for providing accurate and up-to-date information during registration and consultation. By using our service, you warrant that all information provided by you are true ,current, accurate and complete, and we reserve the right to suspend or, terminate your account, without prior warning or explanation, and refuse any and all current or future use of the service.
5.2 Users must not misuse the Service,impersonate others,engage in any activity that is illegal,cause harm or damage to the business of OCD or engage in any activity that violates these Terms and Conditions will be suspended, stopped from usage of the Service and blacklisted by OCD.

5.3 Users, by sending us their submissions,you confirm that you have read and agree with our ‘PROHIBITED ACTIVITIES” and would not publish, send,upload or transmit through the service any content that is discriminatory, hateful, abusive, obscene,false,illegal,misleading,deceitful,harassing,bullying,inaccurate, threatening
to anyone,sexually explicit, distasteful or inappropriate.
5.4 Users are to waive any legal or moral rights to the submission,to the extent permissible by law
5.5 Users warrant that you have the absolute right, authority, licenses and permission to make such submission, and that this submission is original to you, and you have the authority to grant us the above-mentioned rights related to your submission
5.6 Users warrant that your submission does not contravene any confidential information rights or law
5.7 You are solely responsible for your submission and you agree to reimburse OCD for any losses as the result of your breach of(a)the clauses mentioned above,(b)any third party intellectual property rights or(c)applicable law, and to indemnify OCD against any legal suits
6. Intellectual Property
6.1 OCD owns all the content and all intellectual property rights in the Services, including all source code, functionality, software, web designs, audio, video text, photographs and graphics in the Service, collectively referred as ‘Contents’, and all trademarks, service marks and logos used in this service(collectively referred to as ‘Marks’)
6.2 No part of the Content and Marks may be reproduced,uploaded,posted,copied,displayed,encoded,transmitted,translated,licensed,sold,published or otherwise used for any commercial or for whatever purposes, without the explicit permission by OCD
6.3 When the intellectual property rights are breached,the service will be terminated instantly and legal action may be taken
6.4 When you assign or submit to us any idea,suggestion,comment,or feedback you agree to assign to us all intellectual property rights related to the submissions and we are entitled to its unrestricted use and dissemination without acknowledgement or compensation to you.You are totally responsible for the submissions sent by you to OCD
7. Prohibited User’s Actions
7.1 By using the Service, you agree not to:
To retrieve data or content from the Service
To defraud and mislead other users and OCD,especially to obtain sensitive account information like user password
To disable, interfere or circumvent any security related features of the Service as regards privacy and content information
To tarnish,damage and cause harm to OCD Reputation and image
To use the Service to harass,abuse or cause any harm to others,including any of our employees,or agents
To make improper use of the service by submitting false reports of abuse or misconduct by others,and have unauthorized linking to other parties
To use the service not consistent to the existing laws and regulations in force
To Upload or transmit viruses, Trojan horses,spamming or do any attempts to disrupt the functioning of the Service
To use the Service to engage in automated use of the system such as in sending messages or comments, or using it for data mining,robots or similar data gathering or extraction tools
To delete the copyrights and proprietary rights from any content
To impersonate another user or use the username of another user
To copy or adapt the service software , including but not limited to Flash,PHP,HTML,JavaScript or other software code
To bypass any measures of the service designed to prevent or restrict access to the Service or any portion thereof
To interfere ,disrupt,or create any material like uploading or transmitting these materials that act as passive or active information collection or transmission mechanism including but not limiting,clear graphics interchange formats,1×1 pixels,webbugs,cookies or other spyware
To reverse engineer any of the Service software
To use, launch,develop or distribute any automated system , including but not limiting,any spider,robot,cheat utility,scraper, or office reader that accesses the service or use to launch any unauthorized script or other software
To make the service as an avenue for buying and selling your goods or services
To make unauthorized use of the Service to collect and gather usernames and emails. or creating user accounts by automated means or under false pretenses
To reverse engineer our software, by using our Service and content, as an effort to compete with OCD or for commercial purposes
8. User Contribution
8.1 You agree that the Service may store, process, access and use in any form the personal data and content or any information that you provided in the service. You agree that your suggestions, feedbacks or any contributions by you may be used or shared by the service without compensation to you. The ownership and intellectual rights belong to you and we are not liable for the accuracy, truthfulness, or any harm or damage caused by your contribution. You are solely responsible for your Contribution to the Service and you expressly agree to Indemnify us from legal suit arising from your Contribution, and exonerate us from any responsibility of your contribution, and to refrain from any legal against OCD regarding your Contribution
9. Consultation Process
9.1 Consultations are conducted by licensed Healthcare Professionals based on the information provided by the Users, All consultations are conducted online using OCD Platform which do not store the patients’ medical records. The patient’s medical records are stored and kept by each individual doctor for each of his/her patient .The limited amount of the patient records in OCD are for appointment purposes and for the medical professionals
9.2 Users acknowledge that online consultations may have limitations compared to in-person or physical visits,and agree to seek in-person care when necessary
9.3 Users acknowledge a clinical visit consists of consultation followed by optional physical examination by the doctor.The physical examination if required by the doctor will be carried out in Clinics and Centres operated by OCD, the time and date will be arranged by each individual doctor concerned
9.4 Users agree that after the online consultation by the doctors, the doctors may wish to examine the patients. These physical examinations are done in ambulatory clinics operated by OCD in locations near to the patients.In these clinics, investigations including blood and urine tests as well as Xray( in a few clinics)can be conducted . There is also a medicine dispensary in th OCD clinic where medicine can be dispensed to the patient
9.5 In OCD centres( different from OCD clinics) which cater more specifically to Medical Specialists, endoscopy,day case minor surgery, physiotherapy,dialysis and, later, day case cataract surgery may be offered.It is to be noted and emphasised that OCD is a totally an outpatient Ambulatory facility catering to patients with low medical risk.
10. Privacy and Confidentiality
10.1 We are committed to protecting user privacy and confidentiality as outlined in our Privacy Policy.
10.2 Users agree to maintain the confidentiality of their login credentials and not share them with third parties.
10.3 All the users’ medical records are kept and stored in each individual doctor’s clinic management software system. OCD does not keep or store the patient’s medical records except that limited information for appointment and billing purposes, and for analysis and research.OCD is only a platform connecting the patients to their doctors ,and to relevant parties.Please refer to our section on Privacy Policy for more details.
11. Payment and Fees
11.1 Users may be charged fees for consultation services and for other services offered by OCD, as per our fee schedule. It will be noted and emphasised that services and goods will be rendered and delivered only after payments are made or guaranteed.
11.2 Payment methods and Billing procedures are detailed on our website and may be subject to change without prior notice.
12. Disclaimer
12.1 All information provided through this Service is for general informational purposes only and should not replace professional medical advice.
12.2 Users should always consult with a qualified healthcare professional for specific medical concerns and conditions and who holds and keeps his/her medical records
12.3 You agree that you use the Service at your own risk and OCD does not warrant the merchantability and fitness of any product or purpose,non-infringement of any laws, regulations,or intellectual property rights
12.4 You agree that OCD does not warrant the accuracy or completeness of the service content or the content of any website or mobile application linked to the services
12.5 You agree that OCD will assume no liability or responsibility for any(a)errors,mistakes or inaccuracies of content and materials,(b)personal injury or property damage of any nature resulting from your access to and use of the Service,(c)any unauthorized access to our secure servers and use any/all personal or any/all financial information stored therein,(d) interruption or cessation of transmission to and from the Service,(e)bugs,viruses,Trojan horse or the like which may be transmitted to or through the service by any third party,and(f)any errors or omissions in any content or materials posted in our service
12.6 OCD does not endorse ,guarantee,warrant or assume responsibility for any product or service advertized or offered by a third party through the Service.We are not responsible for monitoring any transaction between you and the third party provider of any products or services as you perform the transaction at your own risk .
13. User Data
13.1 We will maintain certain data that you transmit to the Service for the purpose of managing the performance and functionality of the Service, together with the data related to your use of the Service. Although we conduct regular routine backup of the data, you are solely responsible for all data that you transmit or stored or that relates to any activity you have undertaken using the Service. You agree that we have no liability to you for any loss or corruption of any such data, and you hereby absolve us and waive any right of action against us as a result from any such loss or corruption of such data.
14.Indemnification
14.1 You,by using the Service,agree to defend,indemnify,and hold us harmless,including our subsidiaries,affiliates,and all our respective directors,officers,agents,partners and employees from any loss,( monetary or otherwise)damages,liability,claim or demand including legal fees and expenses,made by any third party arising out of (1)breach of these Terms and Conditions,(2)any breach of your warranties and representations posted in this Service,(3)your violation of the right of the third party,including intellectual property rights
15. Limitation of Liability
15.1 We are not liable for any direct, indirect, incidental, consequential or punitive damages arising from the use of our Service. The medical professional, by signing up with OCD, will indemnify OCD for any legal suits or damages filed by patients against OCD.
15.2 Users agree to use the Service at their own risk and to indemnify us against any claims or liabilities.
15.3 You agree that the directors, employees or agents of OCD are not to be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, punitive or any other damages, including loss of data, loss of profit or revenue, arising from your use of the Service. However, notwithstanding anything to the contrary, our liability at all times will be limited to the lesser of the amount paid.
16. Termination of Service
16.1 We reserve the right to suspend indefinitely or terminate the use of the Service to any User at any time without prior notice or without any explanation or reason given.
16.2 Users may terminate their use of the Service by contacting us per the termination procedures outlined on our website and after paying all outstanding bills.
17. Modifications to Terms
17.1 We reserve the right to modify these Terms and Conditions, Terms of Use and Privacy Policy at any time, and such changes will be effective upon posting on our website and app.
17.2 Users are responsible for regularly reviewing these Terms for updates and changes.
17.3 You agree that we have the absolute right to correct any typographical errors, inaccuracies, omissions, including erroneous descriptions, pricing, availability and various other information at any time and without notice, and we will not be liable for any harm, loss of revenue or profit as a result.
18. Communication
18.1 You agree that all email communication and transmission are legally binding, besides being done in writing. You hereby agree to the use of electronic signatures, contracts, orders, and other records (financial and medical), and to electronic delivery of notices, policies, and records of transactions initiated or completed by us or via the Service. You hereby waive any rights or requirements under any statutes, regulations, rules, ordinances or any other laws or jurisdiction which require an original signature or delivery or retention of non-electronic records, or to payments or the granting of any credits, discounts or promotional offers, by any means other than electronic.
19. Governing Laws
19.1 These Terms and Conditions, Terms of Use and Privacy Policy are governed by the laws of Malaysia, and any disputes shall be resolved first by negotiations, and if that fails, in the arbitration courts of Singapore.
20. Dispute Resolution
20.1 By using the Service, you agree to negotiate initially informally for 30 days before initiating arbitration, and such negotiations may commence upon written notice from one disputing party to the other. Any dispute relating to existence, validity, termination of service or any other matters will be arbitrated in Singapore Arbitration Courts based on Malaysian laws currently prevailing at the time. The number of arbitrators shall be 3 or less, from each side. The place of arbitration shall be Singapore, and the language of the proceeding shall be English. The governing law of these Legal Terms shall be the law of Malaysia.
20.2 The disputing parties agree that any arbitration shall be limited to only the outstanding issue of the dispute and between the parties concerned individually. The arbitration shall not be joined with any other dispute or proceeding.
20.3 You agree that no class action basis is allowed, or to utilize class action in any dispute. You also agree that you have no right to bring in a purported representative on behalf of the general public or any other person.
20.4 OCD will have the sole and absolute right not to bring any dispute to any arbitration without giving any reason or explanation.
20.5 If the disputes involve intellectual property rights, allegations of theft, piracy, invasion or unauthorized use or any claim for injunctive relief, these disputes may be settled informally first, and if that fails, by arbitration and/or by a court of competent jurisdiction in Singapore.
20.6 All disputing parties agree to abide by the decision of the Arbitration Courts of Singapore.
21. Miscellaneous
21.1 You, by using the Service, agree to the Terms and Conditions, together with the Privacy Policy, which constitute the entire agreement and understanding between you and us. Our failure to enforce or exercise any right or provision in the Terms and Conditions and Privacy Policy does not mean that the right or provision is waived. We may assign any or all of our rights and obligations to others at any time, and we are not responsible or liable for any loss, delay, damage or failure to act as a result of this assignment. In the event any provision of the Terms, or part of it, is unenforceable, this does not affect the validity of the remaining provisions or parts of it.
21.2 It is understood and noted that the words in the Terms and Conditions, and in the Privacy Policy, where in the singular also imply the plural, and where in the male also imply the female.

- Payment and Fees
1.1The Payment Schedule of each doctor is set out here when he or she joins OCD for the first time to conduct his/her medical practice, keeping in mind that there is no necessity for a doctor to setup or operate his/her own clinic,when he or she joins OCD.
1.2 OCD will provide a platform for the doctor to perform online consultation,with all the functionalities and provisions regardig appointment scheduling, verification of validity and entitlements of patients if they are covered by TPA or Insurance, collection of fees and later payout to the doctors,e- prescription,issuance of medical certificates,ordering of laboratory investigations and X-ray,and print out or issuance of monthly income for each doctor after deducting all fees and expenses
1.3 OCD will provide doctors, when they want to examine patients ,with the examination rooms in OCD clinics and centres, located in various parts of the city.These clinics and centres are owned and operated by OCD which will bear all the cost of renovating,equipping,and operating them. The doctors will only need to rent the examination rooms according to the days and time they wish and want the patients to see them for examination in the OCD clinics or centres.In the clinics and centres,there will be a dispensary to dispense medicine and a laboratory to do the blood and urine tests.X-ray facilities will also be offered in certain clinics or centres.In OCD centres,beside similar facilities offered in OCD clinics, they also offer facilities for endoscopy,day-case operation for minor surgery or procedure,physiotherapy,and at a later stage,dialysis,day-case cataract surgery may be added.The OCD centres are mainly targeted for use by Medical Specialists rather than by General Practitioners.
1.4 A Clinical Visit to a doctor means an Online or Physical Consultaion by the Doctor together with a Physical Examination,depending whether the doctor so decides or chooses to examine the patient.
Clinical Visit = Online/physical Consultation with/without Examination
The doctor is the only qualified person to decide whether the Clinical Visit(Visit) is complete,so that billing of the Visit could be accomplished. It is the responsibility of the doctor to decide whether a Visit is completed or not.
1.4 The Payment Schedule by the doctor to OCD is:

- Joining Fee: this is a ONE TIME fee paid by the doctor to OCD at the beginning .This fee will entitle the doctor to use the Service and the OCD platform until he or she wants to stop his/her medical practice.This fee may be changed,raised or waived at any time without notice,at the sole discretion of OCD which have the absolute right to do so.The joining fee is non-fundable and would have to be paid before the doctor is allowed to use the Service and platform

- Monthly Subscription Fee: this fee is paid by each doctor, at the beginning of every month,who wishes to use the Service and platform without any interruption of his/her medical practice.If the doctor wishes to take a prolonged holiday or leave or for whatever reason ,not wanting to practise for a while ,then he or she can stop the subscription fee for the time he or she is not practising,but what is paid for the remaining days of the month that he or she is not practising is not refundable.The doctor may stop to pay the subscription fee once he/she has totally retired from medical practice and cease to use the OCD platform and Service

- Examination Room Slot Fee: this fee is for the reservation and booking of examination room time in OCD clinics and centres,for physical examination of the patient by the doctor.The time period for each slot is 15 minutes,and it is up to the doctor to reserve and book how many slots he or she would like to have,selecting the location of the OCD clinic or centre where the doctor would like the slots to be in,and the time and days the doctor would like to be present to examine the patient
2. Revenue to Doctors
2.1 Revenue from Medicine
The doctor will also receive a portion of the drug charges after deducting the cost
of medicine charged by the supplier of the medicine..The price of the
medicine will then be marked up from the original cost price charged by the
supplier, the doctor and OCD will share the marked up portion from the cost price
by the supplier.The supplier is not part of OCD but it is an outsourced entity
2.2 Revenue from Laboratory Tests
The original cost of the tests charged by the out-sourced Laboratory company will
be marked up; the doctor and OCD will share a percentage of the marked up
portion
2.3 Revenue from Procedures
All outpatient procedures are performed in the OCD centres.The doctors will be
responsible for charging of the procedure, and any error or mistakes are the sole
responsibility of the doctor concerned.A percentage of the procedure fee may be
remitted to OCD for usage of the centre and facilities. All drugs used together with
all the cost as scheduled or costed by OCD in providing the facilities and manpower
will be charged to the patient,TPA,Insurance Company or any Entity which
guaranteed or is responsible for the full payment of the bill of the patient concerned.
3.Online Consultation
3.1 All routine consultation between doctor and patient is conducted online.There is
provision for the patient to have a physical consultation with the doctor and this is
performed at the OCD clinic or centre with the time and date arranged by the doctor,
or the patient,arriving at an OCD clinic or centre in urgent need to see a doctor will be attended by any doctor that is available at that time in the OCD clinic or
centre.This is only for emergency situation.At the online consultation, all payment for the consultation( part of a clinical visit which consist of consultation and examination)
will have to paid in advance in cash or guaranteed by a TPA,insurance company
or any entity or person,before the online consultation can be conducted by the doctor.
OCD will impose a service fee as a percentage of the clinical visit fee from
the charge by the doctor.If for whatever reason this percentage charge on the visit fee
charged by the doctor is not adequate,a small service fee will be imposed on the
patient instead when he or she book an appointment to consult the doctor.
4.Payout to the Doctor by OCD
At the end of every month , all the accounts,including total revenue earned by the
doctor together with all the expenses incurred by the doctor, will be sent to him/her.
The doctor can access the system to view his accounts at any time.All the revenue
from payments from patients,TPA, insurance companies,companies,shared profits
from drug prescriptions and laboratory tests; and all costs to the doctor, will be easily
viewed by the doctor.The payout to the doctor will be done within 28 days after
receiving the respective payments from various parties involved.
5. The doctor will have to decide whether a clinical visit is completed or not, either with or without a physical examination of the patient. The visit will only be charged to the patient when the doctor verified and confirmed that the visit is completed.

1.3 Usage Information: We may collect information about your interactions with our platform including the pages visited,duration of visit,and other usage statistics

2. How We Use Your Information
2.1 To Provide Service: We use the information collected from you to provide you with the Healthcare services of OCD,including online consultation,diagnostic and treatment recommendations by your doctor,and other health services, related to your physical and mental wellbeing.We process your information to us to improve and administer our Service, and also for security and fraud prevention,and to comply with existing laws.
2.2 Personalization: We may use your information to personalize your experience on our platform and tailor our services to meet your specific needs.
2.3 Communication: We may use your contact information to communicate with you regarding appointments,follow-ups,and important updates related to your healthcare.
2.4 Research and Development: We may use anonymized data for research and development purposes to improve our services and develop new features.
3. Information Sharing.
3.1 With Healthcare Providers: We may share your information with other Healthcare Providers,affiliates,parent company or subsidiaries of OCD involved in your consultation,diagnosis and treatment, and any aspect of the management of your healthcare,to ensure continuity of care and the best possible outcome of your healthcare management.We will require them to honour this Privacy Policy.We may share your information with our Business Partners to offer you certain products,services or promotions
3.2 Third- Party Service Providers: We may engage third-party service providers to assist us in delivering our services,and they may have access to your information solely for the purpose of providing service to us in order that our service to you may operate smoothly,effectively and with minimum problem.

6. Privacy for Persons under age of 18 years

The Centres , apart from the Clinics ,also offer a range of other facilities for the doctors,mainly for the medical Specialists, to perform Endoscopies,Day Care Operative procedures, Physiotherapy sessions and other services.Patients can benefit from virtual consultations, Outpatient in-Clinic and in-Centre examinations,investigations,medicine prescriptions and procedures, ensuring they receive holistic healthcare support.
